1. COMPANY INFORMATION. Kobain Media Group Miami LLC, hereinafter referred to as Threebweb, located at 4300 Biscayne Blvd, Suite 203, Miami, FL 33137, establishes the following terms and conditions for the provision of web development services, monthly subscription-based maintenance, lead generation, and sales automation.

2. PURPOSE OF THE CONTRACT. This document sets out the terms and conditions under which Threebweb provides its services to clients. By subscribing to any of the available plans, THE CLIENT FULLY ACCEPTS AND UNDERSTANDS THESE TERMS.

3. DEFINITIONS.

• Leads: Contacts interested in the client’s products or services, obtained through advertising campaigns.
• Campaign: A marketing strategy focused on lead generation, including advertisements and complementary activities.
• Sales Funnel: An automated process to convert leads into clients through different qualification stages.
• CRM: Software used to manage customer relationships, optimizing administration and conversion.

4. SERVICES OFFERED.

Threebweb offers the following services on a monthly subscription basis:

A. Subscription Plans for Web Services

WEB Plan

Price: $99 USD/month + one-time initial payment of 399USD​

Includes:

• Custom Web Design: Creation of a unique website tailored to your brand, focusing on intuitive navigation and strategic call-to-actions to enhance user experience and conversions.​

• High-Speed SSD Hosting and Custom Domain: Provision of a personalized domain and high-performance SSD hosting to ensure fast loading times and site stability.​

• Security and Continuous Maintenance: Ongoing updates, security monitoring, and automatic backups to keep your website secure and functioning optimally. This excludes product uploads for e-commerce sites.​

• Essential Integrations: Incorporation of tools such as custom lead capture forms, live chat for real-time communication, and CRM integration (if applicable) for enhanced customer management.​

• 24/7 Email Support: Continuous support to address any issues or updates required, ensuring your website operates without interruptions.​

SOCIAL MEDIA Plan

Price: $199 USD/month

Includes:

• Content Creation and Management: Development and scheduling of content across platforms like Instagram, Facebook, TikTok, and LinkedIn to maintain a strong and consistent online presence.​

• Weekly Content Delivery: Production of varied content, including carousels, static posts, stories, and Reels, tailored to each platform to keep your audience engaged.​

• Audience Engagement Strategies: Implementation of tactics to boost reach and convert followers into customers.​

• Continuous Optimization: Management of content calendars and optimization of posts to enhance performance.​

• 24/7 Support: Availability to address any questions, changes, or urgent updates, ensuring a seamless social media strategy.​

LEADS Plan

Price: $499 USD/month​

Includes:

• Effective Advertising: Creation of 1 static and 1 animated ad designed to capture the attention of your ideal customers.​

• Ad Rotation and Adjustment: Periodic updates to ads to maintain campaign effectiveness.​

• Monthly Review and Optimization: Analysis of campaign performance with strategic adjustments to improve conversions and reduce costs.​

• Automated Follow-Up: Use of SMS and email to ensure leads receive timely information, enhancing engagement.​

• Monthly Reporting: Provision of reports with key metrics to assess lead generation and optimize results.​

AUTO Plan

Price: $599 USD/month​

Includes:

• High-Performance Advertising Campaigns: Management of campaigns on platforms like Meta Ads, TikTok Ads, YouTube Ads, and LinkedIn Ads to reach your target audience effectively.​

• Sales Automation: Implementation of CRM systems and salesbots to streamline lead management and accelerate conversions.​

• Email Sequences and Lead Nurturing: Development of automated email campaigns to maintain contact with prospects and guide them through the sales funnel.​

• Detailed Reporting and Optimization: Regular analysis of data with continuous improvements to enhance conversions and client acquisition.​

• Fixed Pricing: Transparent pricing structure with no hidden costs, covering everything from implementation to maintenance.​

Service Conditions:

• WEB Plan: Requires a minimum 24-month subscription. After this period, the client may:​

  • Cancel with 15 days’ notice: Gaining full ownership of the website and domain.​

  • Pay the remaining balance: To obtain full ownership, noting that hosting, maintenance, and support from Threebweb will cease.​

• SOCIAL MEDIA, LEADS, and AUTO Plans: These services are offered on a month-to-month basis with no long-term commitment. Clients may cancel at any time with 15 days’ notice.

5. OBLIGATIONS OF THREEBWEB.

Threebweb commits to:

• Providing the contracted services professionally.
• Maintaining client confidentiality.
• Implementing optimizations to improve campaign and website performance.

6. CLIENT OBLIGATIONS.

The client must:

• Provide necessary information and materials for service execution.
• Make payments as per the selected plan.
• Grant access to advertising accounts and required platforms.
• Participate in follow-up meetings when required.

7. PAYMENT TERMS & SERVICE SUSPENSION.

• Payments must be made via credit card before service activation.
• Failure to pay will result in automatic suspension of services.
• If payment is overdue for more than 3 months, the service will be terminated, and the client will lose ownership of their website and domain.

8. DESIGN MODIFICATIONS & LIMITATIONS.

• Up to two rounds of modifications (text and images) are included.
• Additional changes will be billed separately.
• Once approved, the website design cannot be modified, as Threebweb works with predefined templates.

9. CANCELLATION, REFUNDS & CONDITIONS.

• Clients may cancel with 15 days’ notice, provided they have completed 24 months of subscription.
• No refunds are issued for payments already made.
• If a client cancels before 24 months, they must pay all remaining dues.
• Domain ownership transfer:
  • During the 24-month period, the domain belongs to Threebweb.
  • If the client wants early ownership, they must pay the full website cost ($4,776 USD) or the remaining balance.

10. LIMITATION OF LIABILITY.

• Threebweb does not guarantee conversions or sales but provides strategies to optimize lead capture and automation.
• Threebweb is not responsible for lost data or leads due to client misuse.
• If the client modifies campaigns without authorization, Threebweb will not be held accountable and may terminate the service without refunds.

11. USE OF CAMPAIGNS AFTER THE CONTRACT ENDS.

• After contract termination, the client cannot reuse campaigns developed by Threebweb.
• Unauthorized use may result in legal action and claims for unpaid fees.

12. INTELLECTUAL PROPERTY.

• Threebweb retains all rights to the tools, methodologies, and processes used.
• Clients may not copy, modify, or distribute system components without permission.

13. CONFIDENTIALITY.

Both parties agree to maintain confidentiality of shared information during and up to two years after the contract ends.

14. REVISIONS & MODIFICATIONS TO TERMS.

Threebweb reserves the right to modify these terms at any time. Changes will be communicated 30 days in advance.

15. NON-EXCLUSIVITY.

Threebweb does not offer exclusivity to any client and may work with direct competitors.

16. APPLICABLE LAW & JURISDICTION.

This contract is governed by the laws of the State of Florida, USA. Any disputes shall be resolved in the courts of Miami.
